At Mr. A and Mr. B formed a partnership business, whereby they sold finished leather products. The business was undertaken for 25 years. They decided to cause an end to their partnership business. Mr. Clearnt about the end of the business and approached to Mr. A and Mr. B for purchase of the goodwill of their partnership business. Both Mr. A and Mr. B offered to sell the goodwill to Mr. C for Rs 14 Lacs. Mr. C agreed to pay Mr. A and Mr. B, Rs 14 lacs with a condition that both Mr. A and Mr. B will refrain themselves from carrying on a similar business, within specified local limits so long as Mr. C (the buyer of the goodwill) carries on a similar business within the specified local limits for next 20 years. Mr. A and Mr. B accepted the offer of Mr. C. Decide on the validity of the agreement between A, B and C with relevant provisons of law and juridicial precedents.
