bark of tree is made of a tough substance called suberin, which is comprised of lignin.
as we know, cell wall of a plant cell is made of cellulose (primarily). which later differenciates (grows up to attain a permanent shape) to form lignin, it is a dead substance and hence is hard as all the cytoplasm has dried up. as the plant grows up into a tree, the outer covering of the stem hardens and becomes the bark. as the bark is now made of suberin, a dead substance, it looses the ability to absorb air or water and so it is impervious to them.
