Carbon atoms in carbon dioxide have eight shared electrons with oxygen. The oxygen molecules each have two shared pairs (in double bonds) and two lone pairs of nonbonding electrons. This satisfies the octet rule for stability and keeps the formal charge of carbon and the two oxygens at zero.
