Cell division simply divides the cell, but it maintains the properties of the cell and it does not effect the gene  changes in the cell
Cell Defferentiation requires changes in the gene regulation, variations in genes are included in it to make it more specialised.

Cell division simply divides the cell. It can maintain the properties of the cell - it does not have to lead to changes in gene regulation (which genes are turned off, which are turned on, and how much those that are turned on are expressed).
Cell differentiation requires changes in gene regulation, since one general type of cell must differentiate into a different, more specialized type of cell.
