All the shareholders are the members but all the members are not shareholders.....

The statement is true but not completely, as it's a subject to certain exceptions.



A person can become the holder of shares through transfer, but is not a member, until the transfer is entered in the register of members.



In the same way, the transferor of shares lack shareholding but continue as a member, until enteries are made in the company's books regarding the transfer.
