The role ofdoctrine of indoor management is opposed to of the role of doctrine of constructive notice. Whereas the doctrine of constructive notice protects a company against outsiders, the doctrine of indoor management protects outsiders against the actions of a company

Doctrine Of Indoor Management is a rule contrary to the Doctrine of Constructive Notice.

Under the Doctrine of Indoor Management the person dealing with a company is provided protection or exceptions while dealing with a company.

Doctrine of Constructive notice says that while dealing with a company, a person is bound to have knowledge about the Memorandum and Articles of the company while dealing with the company.

According to the Doctrine of Indoor Management, the person is given protection while dealing with the company because through Articles and Memorandum of a company a person can only kniw about its external affairs and not the internal affairs.

This Doctrine is also known as Tarquand's Rule due to the infamous Tarquand rule on which the Doctrine is based and formed.
