The major rule regarding the selling of goods is the acceptance of the seller and buyer. Prior to delivery of goods, the sellers and buyers enter into a "contract". This may be "express or implied"

Explanation:

  • By way of selling goods, the buyer gets the possession of goods. Both parties (buyer and seller) agree to the  transfer of ownership in terms of exchange relationship.
  • The seller of the good is not bound to deliver the good until they are accepted by the buyer. If a buyer does not apply for delivery, then the seller has no right to take action against the buyer.
  • Initially, a buyer should place an order for the good and it should be approved by the seller after receiving the payment. The delivery charge will be only assigned if the good is accepted for delivery from the buyer side.
  • If there is no fixed time for delivery, then the seller is bound to send them within a "reasonable time"
  • If the seller delivers more than what the buyer had bought, the buyer has the option to refuse the delivery of goods.
  • The buyer has the "right to" "examine the goods" after taking delivery. This is to ascertain if the seller has delivered the goods in conformity with the contract.
  • After examining the goods, the buyer can accept the goods or reject it. It can happen if there is mismatch with the contract, or the wrong quantity of goods  has been delivered, or the time for delivery has elapsed. In such situations, the buyer has the right to refuse to accept the goods.
  • If the place of delivery is not the buyer's destination, but other place as mentioned by the buyer, then then the seller must collect the necessary information concerning the place of delivery as mentioned by the buyer.
  • However, the buyer is responsible to the seller. If any loss occurs for buyers negligence or refusal to take delivery, the buyer may be responsible for delivery.
  • In case the buyer is unable to make the full payment for the goods,  the seller can give the option for "installment delivery". However, here the buyer must pay more than the marked price.
