Cells need oxygen for process of respiration. Process of respiration releases enough energy to perform various cellular activities. If they fall short of oxygen thennthey can't functionand they eventually die.

High levels of carbon dioxide results in disturbing metastasis of cells. It inhibits cellular respiration. And equilibrium of cell reactions will be altered. So cell could live no more.
