"When a person express his willingness to another person to do or not to do something in act for gaining his consent."

Offer and Proposal are two synonymous terms.

The term proposal is used in Indian Contract Act whereas Offer is used in English Law.

According to Section 2 (a) of Indian Contract Act, 1872 :

" When one person signifies to another his willingness to do or to abstain from doing anything, with a view to obtaining the assent of that other person to such act or abstinence, he is said to make a proposal."

A major point to notice here is that any statement if made without any intention to obtain the assent of the other party thereto, that cannot be termed as a proposal.

Offer or Proposal can be of two types according to Section 9 of Indian Contract Act, 1872

● Express - made in words

● Implied - made otherwise than in

words
