The basic difference is that alveoli are located in the lungs while villi are found in small intestine.

Not so fast... alveoli form a semi permeable layer for the exchange of O2 and Co2 present in the blood. Villi on the other hand increase the surface area for absorption of food. Villi basically are extension or modification of cells well alveoli are no modified cells. Alveoli are sac like structure opposed to villi that are finger like projections.
