It shows surety in the near future.
It is used to ask questions or make requests.
e.g : 1.) It would rain today.
2.) Would you like to have tea?

Could

It is used for formal permissions and requests.
It shows possibility in the future.
e.g : 1.) Could you lend me your pen? (there is no need for please with could because could is already very polite.)
2.) He could fail this time.
