The Company lost all its administrative powers following the Government ofIndia Act of 1858, and its Indianpossessions and armed forces weretaken over by the Crown. The East India Company itself was formally dissolved by Act of Parliament in 1874.

After the sepoy mutiny of 1857 (which I suppose you are well aware of), the Britishers came to a conclusion that the Indians needed a better governing body for their better development and before Lord Canning, the then head of the East India company, could try stopping the revolt and end it, the Britishers passed the Government of India Act of 1858 and started its rule on India.
