Limited liability is immaterial to attracting new shareholders. It can always require that you sign a personal guarantee, regardless of the company’s limited liability status. At the same time, It would want the company It invests in to be protected from outside claims (so that it doesn’t extend to me personally as an investor in the company) through the legal structure of limited liability.
