The warrants No.2 to purchase common stock of Grand Canal Land Public Company Limited

(GLAND) were issued by GLAND, pursuant to the resolutions of the Annual General

Shareholders Meeting of 2013 held on April 25th, 2013.

The warrant holders are entitled to the rights as stated in the Rights and Duties of Warrant

Issuer and Warrant Holder (“Terms”) provided that the warrant issuer and the warrant holder

shall be binding to the Terms. The warrant holders shall be regarded to acknowledge and

comprehensively understand all terms and conditions stipulated in the Terms, including the

agreeing to the appointment of the registrar of the warrants and agreeing to all terms

stipulated in the Registrar Appointment Contract. The warrant issuer will secure copies of the

Terms and copies of Registrar Appointment Contract at the warrant issuer’s head office for

warrant holder’s inspection during the regular office hours of the issue
