Solution:

The numbers in M include the natural numbers between 10 and 40 that are divisible by 3, that is, 12, 15, 18, 21, 24, 27, 30, 33, 36 and 39. These numbers must be written in the circle named M. The numbers in N include all the natural numbers up to 40 that are divisible by 40, that is, 4, 8, 12, 16, 20, 24, 28, 32, 36 and 40. These numbers must be written in the circle named N.

The numbers 12, 24 and 36 are common in M and N and hence, they are written at the intersection of the two circles.

Therefore, the Venn diagram is shown in the attached image.
