They both are protozoan unicellular organism.

1. Amoeba has one nucleus but Paramecium has two nuclei, I.e. micronucleus and macronucleus.
2. Amoeba can intake food from any part of its body by pseudopodia but Paramecium can intake food only by 'oral groove'.
