Kirchhoff's 2nd Law=The algebraic sum of potential charges in each part of the closed circuit is 0. It is based on conservation of energy.

Potentiometer is preferred over voltmeter for the measurement of cell because it is said to act as an ideal voltmeter since it is based on cancellation of currents.i.e. it does not draw current from main circuit due to which accurate measurement is attained.
