Let the maximum marks be x

Marks scored by student 1 is 30% and failed by 12

Marks scored by student = 0.3x

Passing marks = 0.3x+12

Another student secured 40% marks and got 28 more

Passing marks = 0.4x-28

So,  0.3x+12= 0.4x-28

40=0.1x

400=x

The maximum marks is 400
