Answer:

27 February 2017 will be the date when the company is considered to be in existence and the contracts signed will be considered valid.

Explanation:

The date mentioned on the certificate of incorporation is the date when the company will be considered to come into existence.

Certificate of Incorporation:

  • A certificate of incorporation is a legal document/license issued in connection with the creation of a company or corporation.
  • It is a certificate of incorporation issued by the state government or, in some jurisdictions, by a non-governmental entity/corporation.
  • Its specific meaning is determined by the legal system in which it is employed.
  • A certificate of incorporation is commonly used in the United States as an alternate description of a corporation's articles of organization.
  • The certificate of incorporation, also known as the articles of incorporation, is an important component of the corporation's constitutional papers.
  • A certificate of incorporation is often a basic certificate provided by the relevant government registry as certification of the company's due incorporation and lawful existence in English and Commonwealth legal systems.
  • The certificate of incorporation has little legal relevance in other common law legal systems.
