Procedure for Change Private Limited Company Name
Step 1: Pass Special Resolution for Company Name Change
Once the name is approved by CRC, MCA, the company should hold EGM and pass the the special Board Resolution for changing the name of the company and need to change in company Memorandum and Article.
Step 2: Application for approval of Company Name Change
A special resolution will be filed with RoC (MGT 14) along with Certified copy of Board Resolution, Notice of EGM and MOA & AOA within 30 Days
Company also need to File INC 24 with concern RoC along with copy of the minutes of Extra-ordinary General Meeting. We need to mentioned reason for change of company name and number of members who attended the EGM, Voting in favor/again the resolution.
Step 3: Issuance of New Certificate of Incorporation
Once RoC is satisfied with application of change of name, RoC issue a new Incorporation Certificate
Step 4: Make Changes to MOA and AOA
Once Company received new incorporation certificate from RoC, company must make a changes to company Memorandum and Article.
