Shares
1. shares are means of capital which is return to shareholders at the time of winding up of firm.
2. long term liability
3. dividend (part of profit) are to given

Debentures
1. means of capital which is return to debentureholder after certain period of time.
2. short term liability
3. interest ( part of profit) are to be given.
