When can registrar refuse registration of a prospectus?

Answer:

Registrar of Companies shall refuse to register a prospectus: If it not dated and does not comply with the requirements of Section 56 of Companies Act. It is not signed by every person named therein as director or proposed director of company. It is not accompanied by consent of auditor, banker or broker of company.
