nucleus os not bounded by nuclear membrane in prokariyotic cell but nuclear material is present in nucloid form.
cyoplasm is pressnt in both.
nuclear membrane is absent in prokaryotic cells
membrane bound cell organelles are absent in prokaryotic cells.

prokaryotic cells have irregular nucleus and the cytoplasm whereas eukaryotic cells have a membrane nucleas and membrane bound cell organelles.
And also eukaryotes are much larger and complex than prokaryotes
