Plasma membrane is the outermost layer of an animal celland is the layer inner to the cell wall of a plant cell. It's semi-permeable and is made of 2 layers of lipids. Cytoplasm is the fluid within the plasma membrane and outside thenucleus on which all the organelles float.

plasma membrane:
a microscopic membrane of lipids and proteins which forms the external boundary of the cytoplasm of a cell or encloses a vacuole, and regulates the passage of molecules in and out of the cytoplasm.
