Plasma membrane is the outermost layer of an animal cell and is the layer inner to the cell wall of a plant cell. It's semi-permeable and is made of 2 layers of lipids. Cytoplasm is the fluid within the plasma membrane and outside the nucleus on which all the organelles float.

Cytoplasm is a semi liquid substance and occupies most part of the cell within the cell membrane. Under a compound microscope, it appears to be colourless, partly transparent and somewhat watery. It is non- living.
Many chemical reactions take place in the cytoplasm.
Living cytoplasm is always in a state of some movement.
The cell organelles are embedded in the cytoplasm.
