Difference b/w Platyhelminthes and Nematoda are :

Platyhelminthes :

1. Their body is flattened dorsiventrally.

2. These are Acoelomates.

3. Animals are monoecious.

4. Examples = Fasciola, Taenia solium etc.

Nematoda :

1. Their body is cylindrical.

2. These are pseudocoelomates.

3. Animals are dioecious.

4. Examples = Rhabditis, Ascaris etc.

Similarity is that they both have bilateral symmetry.
