No company can issue debentures, which has got any voting rights, its true because whenever company will get any voting right then company only liable to issue shares. It s reason is that Shareholders has rights of voting but debentureholders has n't any right of this type.
Hence, If a company has voting rights then it cannot issue any debentures. In other words, it only issues shares for that purpose.
