A noun phrase is a group of words that work together to name and describe a person,place,animal or a thing.when we look at the structure of writing,we treat a noun phrase the same way we treat a common noun.Like all nouns,a noun phrase can be a subject,object or complement.

A noun phrase is a phrase that plays the role of a noun. The head word in a noun phrase will be a noun or a pronoun.so,in general, a noun phrase is a group of words with a noun head as the nucleus and some other words as modifiers.

Example :

The players appreciates their coach analytical skills

The players appreciates him.

In the above example, the ability to replace the noun phrase with a pronoun proves the above written test is functioning as nouns,making them noun phrases.

following are some more examples for clear understanding,

1)He like the beautifulful painting.

2)I have met the world's beautiful actress.

these can be written using noun phrases as

1)He like it.

2)I have met her.

For Ur 2nd question,the difference is usage of adjective clause in 2nd sentence where both sentences meanings are same.
