As we know that water lily swims on water so the lower surface is not facing the sun and it will not get enough amount of oxygen but if we talk about the upper surface it faces the side of enough oxygen. Now with this we can say that stomata are always present on the upper surface as to get enough amount of oxygen in order to function properly.
