The difference between them is that fairly is used for the favorable circumstances whereas rather is used for the unfavorable circumstances. Let me take a few examples to elaborate the point :
- He was cast out of the Immortal world fairly young.
- When she found her voice, it fairly dripped with sarcasm.
- It fairly overcame my Nervii.
- No, if one of us has to get snowed in up here, I'd rather it was me.
- Thanks, but I'd rather go alone.
- I ignored her question rather than lie.

Fairly is used in the moderate sense before the adjectives used in good sense.
Rather is also used in moderate sense before the adjective used in bad sense.
Ex. Fairly- John is fairly too wise.
Ex. Rather- John is rather too unwise.
Hope this will help u.
