Cytoplasm is the protoplasm enclosed by the plasma membrane of cell, excluding the nucleus in eukaryotic cell and cellular DNA in prokaryotic cell.

While protoplasm is the colourless material comprising the living part of a cell including the cytoplasm, nucleus and other organelles.
