It happen because ENGLAND PARLIAMENT think that east india company is not able to handle a big country like INDIA

The company was under the British Parliament who after 1857 revolt found that they are incompetent to rule the nation and since Britain got enough profit from India and they had already lost American Colonies they were afraid that they could India too.
So the nation was proclaimed under the rule of their queen.
If the company would have been existent then the freedom struggle would have been easier since British parliament worked more efficiently than the Company to curb down the Nationalist movements in India.
