Heterotrophic Prokaryotes have to take in, or engulf, biological matter to produce energy, usually by engulfing smaller cells. Even if a bacteria wanted to have mitochondria, it couldn't. Bacterium contain no membrane bound nucleus and rarely contain membrane bound organelles.
