Protoplasm is the content of the cell including the cell membrane, cytoplasm and the cell nucleus whereas cytoplasm is the jelly like substance surrounding the nucleus within the cell membrane. The cytoplasmcontains the cell organelles like mitochondria, ribosomes etc.

If we divide the cell roughly it is composed of cell membrane, cytoplasm and nucleus. Cytoplasm and protoplasm are two different terms used to describe the living matter present in the cell. This composition of cell membrane, cytoplasm and nucleus is called protoplasm. It means protoplasm contains all the matter present in the cell, including cytoplasm and nucleus. Protoplasm contains both organicand inorganic matter like water, salts, minerals, proteins, carbohydrates, etc. Whereas cytoplasm is the matter present between cell membrane and the nucleus which contains the cytosol, organelles and various particles. Cytoplasm contains organelles such as Golgi bodies, mitochondria, chroloplasts, lysosomes, peroxisomes, endoplasmic reticulum and ribosomes. In simple words, protoplasm is cytoplasm plus nucleus, that is all theliving matter of the cell.
